RZN SOLUTIONS, LLC – AFFILIATE AGREEMENT
Effective Date: July 23, 2025

This Affiliate Agreement (“Agreement”) is entered into by and between RZN Solutions, LLC (“Company”, “we”, “our”, or “us”), a Florida limited liability company, and the individual or entity (“Affiliate”, “you”, or “your”) that submits an application to participate in our affiliate program (“Program”).

By participating in the Program, you agree to be bound by the terms of this Agreement.

1. Affiliate Program Overview

RZN Solutions, LLC operates an affiliate program that allows approved Affiliates to refer paying clients to our services—including, but not limited to, RZN Connect, website development, advertising management, and other solutions—via unique affiliate tracking links. Approved Affiliates may earn commissions on qualifying sales.

2. Commission Structure

• Commissions will be paid on setup fees and recurring subscription fees for RZN Connect.

• No commissions will be paid on:

  • Usage-based charges (e.g., minutes used on the RZN Connect platform)

  • Integration fees

  • Any add-on services not explicitly stated as commissionable

• Commission rates are determined at the sole discretion of RZN Solutions, LLC and may be updated at any time with written or email notice to the Affiliate. Continued participation in the program after notice of changes constitutes acceptance of the revised terms.

3. Payment Terms

• Commissions will be paid monthly, typically within 30 days after the end of the billing cycle, provided the referred customer has paid in full and has not canceled or requested a refund within the refund window.

• Minimum payout threshold: $20

• Payments will be made via [Bank ACH/PayPal].

4. Tracking & Attribution

• Referrals must be made via your unique affiliate link or referral code.

• Attribution is based on cookies or custom affiliate IDs, valid for 30 days unless otherwise specified.

• In cases of dispute or dual attribution, the Company reserves the right to determine the referral source at its sole discretion.

5. Marketing and Brand Use

• You may not use our name, branding, logos, or materials without prior written consent except for assets explicitly provided for affiliate use.

• You agree to represent our services truthfully, without making misleading claims or unauthorized guarantees.

• No spamming, fraudulent activity, or unauthorized use of advertising platforms is permitted.

6. Term & Termination

• This Agreement is effective upon your acceptance into the Program and remains in force until terminated by either party.

• Either party may terminate this Agreement at any time, with or without cause, by giving written notice.

• Upon termination:

  • You must cease all use of our branding, links, and promotional materials.

  • Any unpaid commissions due for qualifying referrals made prior to termination will be paid in accordance with this Agreement.

7. Independent Contractor

You are an independent contractor, not an employee, partner, or agent of RZN Solutions, LLC. You are responsible for your own taxes, liabilities, and expenses.

8. Modification of Terms

We reserve the right to update or modify this Agreement at any time. Changes will be effective upon notice via email or posting to our website. Continued participation in the Program constitutes acceptance of the updated Agreement.

9. Limitation of Liability

We make no express or implied warranties with respect to the Program. We shall not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. All disputes shall be resolved in the courts located in Palm Beach County, Florida.

11. Entire Agreement

This document represents the entire agreement between the parties regarding the affiliate relationship and supersedes all prior agreements and understandings, whether oral or written.

By participating in the Program, you affirm you have read, understood, and agreed to this Affiliate Agreement.
